Dr. Omar Bashour has recently worked on the following projects:

• Advising FARABI Petrochemicals Company on the structuring and negotiation of its Shareholders’ Agreement, and on the capital increase transaction valued at USD 100 million, including legal due diligence, regulatory compliance under Saudi corporate law.
• Lead legal Counsel to SASEL (a subsidiary of a multi-billion-dollar Turkish infrastructure and investment group) in Saudi Arabia, managing settlement negotiations for a dispute exceeding USD 100 million.
• Leading legal negotiations and contract drafting for multi-billion-dollar EPC infrastructure projects on behalf of TBEA Co. (a major Chinese state-owned engineering company).
• Lead legal counsel in the acquisition transaction between ELM (a Tadawul-listed company) and Smart National Solutions (SNS), including negotiation and deal structuring.
• Lead legal counsel to China Unicom, China’s largest telecommunications company, in connection with a proposed joint venture in Saudi Arabia, including deal structuring, negotiation support, and preparation of detailed legal due diligence reports.
• Currently advising GWC, a publicly listed Qatari logistics company, and its Saudi subsidiary on corporate governance, drafting bylaws, and structuring a joint venture agreement.
• Currently advising HRS International and multiple Saudi investors on the incorporation of various legal entities under the Saudi Companies Law.
• Drafted and negotiated a joint venture agreement for RTB House (Holding), while advising its Saudi subsidiaries on corporate structure and regulatory compliance.
• Advised Alpha Pharma, a listed pharmaceutical company, in a complex patent infringement dispute against Novartis AG, a Swiss multinational pharmaceutical corporation.
• Advised over 20 of multi-million-dollar international companies on establishing Saudi branches, including licensing, regulatory filings, and operational structuring.
• Ongoing advisor to a Saudi holding company and its subsidiaries, providing legal guidance across a wide range of corporate and commercial matters.
• Drafted due diligence reports for companies involved in acquisitions and IPOs on the Saudi Stock Exchange (Tadawul), across various sectors including technology, pharmaceuticals, and construction.
